Restaurant Terms and Conditions

Introduction

Welcome to the Chop Chop platform. These Restaurant Terms and Conditions (“Terms”) govern the use of the Chop Chop platform by restaurants (“Restaurant”, “you”, or “your”) and outline the legal responsibilities and obligations between the Restaurant and Chop Chop (“we”, “us”, or “our”). By subscribing to and utilizing our platform, you agree to these Terms, which include provisions on subscriptions, payment to delivery partners, dispute resolution, and other

essential aspects of our service.

  1. Subscription Terms

1.1 Subscription Activation: Upon subscribing to the Chop Chop platform, you gain access to our suite of tools designed to connect your restaurant with delivery partners and customers. Your subscription commences as soon as your payment is processed

1.2 Fees and Renewals: Subscription fees are charged in advance on a monthly or annual basis, as agreed upon during the subscription process. These fees are non-refundable, except as expressly provided in these Terms.

1.3 Cancellation Policy: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle, and you will have access to your subscription until then. No refunds or credits for partial months or years are available.

1.4 Changes to Fees: We reserve the right to change our subscription fees. Any changes will be communicated to you in advance.

  1. Payment to Delivery Partners

2.1 Escrow Account: Payments for deliveries completed through the Chop Chop platform will be held in an escrow account managed by Chop Chop. These funds will be released to delivery partners only upon successful completion of a delivery.

2.2 Direct Payment: Restaurants agree to directly pay delivery partners through the Chop Chop platform. The payment process is facilitated by Chop Chop to ensure security and efficiency.

2.3 Successful Delivery: A delivery is considered successful when the delivery partner has completed the delivery to the customer’s satisfaction. Confirmation of successful delivery will trigger the release of funds from the escrow account to the delivery partner.

  1. Handling Disputes and Refunds

3.1 Restaurant’s Responsibility: The Restaurant is responsible for managing and resolving disputes with customers, including issues related to food quality, order accuracy, and customer service.

3.2 Refunds: Refund requests from customers are subject to the Restaurant’s refund policy.

The Restaurant agrees to handle all such requests directly and in a timely manner. Chop Chop’s role is limited to facilitating communication between the Restaurant and the customer, when necessary.

  1. Restaurant Obligations

4.1 Compliance: The Restaurant agrees to comply with all applicable laws, regulations, and guidelines related to food safety, handling, and delivery.

4.2 Quality of Service: The Restaurant is committed to providing high-quality food and service to customers. This includes ensuring that food is prepared to order specifications, packaged appropriately for delivery, and handled with care during the delivery process

4.3 Accuracy of Menu and Pricing: The Restaurant is responsible for ensuring that all menu items and pricing listed on the Chop Chop platform are accurate and up-to-date.

4.4 Timely Preparation: Orders received through the Chop Chop platform must be prepared in a timely manner, ensuring that delivery partners are able to pick up and deliver orders within the expected delivery timeframe.

4.5 Insurance and Liability: The Restaurant agrees to maintain appropriate insurance coverage for its operations. The Restaurant assumes liability for any issues arising from the preparation, quality, or safety of the food it provides.

  1. Modifications to Terms

We reserve the right to modify these Terms at any time. Any changes will become effective immediately upon posting to the Chop Chop platform or as otherwise communicated to you.

Your continued use of the platform following such changes will constitute your acceptance of the new Terms.

  1. Governing Law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.

By subscribing to and using the Chop Chop platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. These Terms constitute the entire agreement between Chop Chop and the Restaurant regarding the use of the platform.
